CEX PROPRIETARY SOFTWARE LICENSE (BETA)

This license governs CEX software owned by Alphaanon ("CEX"), including the
CEX desktop application, runtime, interface, orchestration system, and any CEX
source code or documentation supplied with them (the "Software"). Third-party
components are governed by their own licenses as described in Section 6.

1. FREE-TO-USE LICENSE

Subject to these terms, Alphaanon grants you a limited, non-exclusive,
non-transferable, non-sublicensable license to install and use an official
unmodified release of the Software, free of charge, for lawful personal,
internal business, and commercial creative work. This end-use grant covers
proprietary source-form files that Alphaanon includes inside an official release
solely as executable runtime components; it does not grant permission to reuse,
modify, publish, or distribute those files.

You may use CEX to create, operate, and sell your own projects, content,
workflows, agents, skills, tools, and other output. This license does not grant
you ownership of CEX or permission to distribute or commercialize CEX itself.

2. CEX OWNERSHIP

CEX is proprietary software. Alphaanon retains all right, title, and interest
in the Software, including its source code, runtime, interface, architecture,
branding, and updates. No rights are granted except those stated expressly in
this license.

3. YOUR MATERIALS

As between you and Alphaanon, you retain your rights in the prompts, files,
projects, configurations, content, and other materials you provide to or create
with CEX ("Your Materials"). You are responsible for Your Materials and for
having the rights necessary to use them.

4. RESTRICTIONS

Except where applicable law does not permit a restriction, you may not:

- copy the Software except for a reasonable backup of an official release;
- modify, adapt, translate, or create derivative works of the Software;
- reverse engineer, decompile, or attempt to extract the Software's source code;
- publish, redistribute, sell, rent, lease, sublicense, or transfer the Software;
- provide the Software itself as a hosted or managed service for third parties;
- bypass access, security, licensing, or technical restrictions; or
- remove or alter copyright, trademark, or proprietary notices.

Extensions, settings, models, agents, skills, tools, and workflows created
through interfaces CEX intentionally provides are not prohibited modifications
of the Software.

5. OFFICIAL RELEASES AND UPDATES

Use only installers obtained from an official CEX distribution channel. An
update may include revised terms. Revised terms apply only when presented with
and accepted for that update; they do not change rights already granted for an
earlier version.

6. THIRD-PARTY SOFTWARE

The Software includes or interoperates with third-party components. Those
components remain subject to their respective copyright notices and licenses.
Nothing in this license limits rights granted directly by a third-party license.
Required notices are provided with the distribution or in the CEX third-party
software notice.

7. PRIVACY AND OPTIONAL REPORTS

CEX's handling of website metrics, optional usage metrics, crash reports, and
feedback is described in the CEX Privacy Notice. Connecting an outside model,
tool, or service may send data to that provider under its own terms.

8. BETA SOFTWARE; NO WARRANTY

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF
ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A
PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. BETA SOFTWARE MAY CONTAIN
ERRORS, INTERRUPTIONS, OR DATA-LOSS RISKS. YOU ARE RESPONSIBLE FOR BACKUPS AND
FOR REVIEWING HIGH-IMPACT ACTIONS.

9. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALPHAANON WILL NOT BE LIABLE FOR ANY
INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES,
OR FOR LOSS OF DATA, PROFITS, REVENUE, GOODWILL, OR BUSINESS INTERRUPTION,
ARISING FROM OR RELATED TO THE SOFTWARE. TO THE MAXIMUM EXTENT PERMITTED BY
LAW, ALPHAANON'S TOTAL LIABILITY ARISING FROM OR RELATED TO THE SOFTWARE WILL
NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE.

Some jurisdictions do not allow certain warranty exclusions or liability
limits, so portions of Sections 8 and 9 may not apply to you.

10. TERMINATION

This license terminates automatically if you materially breach it. On
termination, you must stop using and delete copies of the Software, except for
Your Materials and anything applicable law permits you to retain.
